Lecturers of FAIE Attend the Seminar on the Implementation of the Law on Enterprises and Commercial Contract Law.

Pursuant to Plan No. 94/KH-HLG dated 23 June 2023 of the Dong Nai Provincial Lawyers Association regarding the organization of a seminar on the application and implementation of the Law on Enterprises, contract law, and the resolution of commercial contract disputes.

The seminar was chaired by Mr. Phan Van Chau, President of the Dong Nai Provincial Lawyers Association. At the conference, in addition to lawyers and legal experts, there were also representatives from various departments and enterprises in the province.

The attending delegates included representatives of the Vietnam Fatherland Front Committee of Dong Nai Province, the National Assembly Delegation of Dong Nai Province, the Internal Affairs Commission, the Propaganda and Education Commission – Dong Nai Provincial Party Committee, the Department of Justice, the Department of Home Affairs, the Department of Planning and Investment, the People’s Procuracy, the People’s Court, the Civil Judgment Enforcement Sub-department of Bien Hoa City, the Business Registration Office – Department of Planning and Investment, the Office of the National Assembly Delegation and the People’s Council of Dong Nai Province, along with other departments and agencies. More than 40 lawyers and legal experts working at provincial departments, agencies, and units attended the seminar. Representing Lac Hong University, FAIE was attended by MB Vu Thi Thanh Huyen – Head of the Financial and Banking Law Division; MB Ngo Thi Kim Anh – Lecturer of the Economic Law major; and Mr. Vo Thai Sinh – Enterprise Relations Department.

The delegates provided numerous comments addressing shortcomings in the current application of the Law on Enterprises and the risks arising in the formation of commercial contracts that have led to disputes in recent times. Several experts in the fields of enterprise and commercial business discussed in depth the current status of implementing the 2020 Law on Enterprises, the difficulties encountered in practice, as well as legal issues relating to contracts and commercial contract disputes faced by enterprises.

According to experts, enterprises in Vietnam and in Dong Nai Province are increasingly participating in international transactions. However, in drafting and performing contracts, some enterprises still face limitations in contract drafting, risk anticipation, dispute negotiation, and the application of international commercial practices.

At the seminar, delegates discussed various solutions to help enterprises avoid foreseeable risks during the formation and performance of contracts, particularly when issues arise due to objective obstacles, changed circumstances, or fundamental breaches by one party. One of the proposed solutions is that each enterprise should establish a legal advisory unit to provide consultation and active support from the stage of contract drafting and formation to the resolution of disputes related to international transactions.
